Inhouse Legal Counsel
Description

We are seeking a skilled and experienced In-House Legal Counsel to join our legal team as a Middle Manager. This role will provide legal guidance across various aspects of the business, including commercial contracts, regulatory compliance, corporate governance, and risk management. The ideal candidate will have strong problem-solving skills, excellent judgment, and the ability to manage multiple projects simultaneously.

Responsibilities

* Advising compliance requirements, company secretarial procedures and registration maintenance
* Managing annual general meetings, board of directors’ meetings and board committee meetings for the Holding Company and Subsidiaries and ensuring compliance with CAMA and other relevant laws.
* Ensure the company makes all the relevant fillings and update the statutory registers
* Provide legal advice for the Group and its subsidiaries to protect the interests of the companies.
* Overseeing the legal matters of the business, including acting as the business’ legal representative
* Keep abreast of new laws and advice and mitigate their impact on the companies.
* Maintain and manage the relationship with external counsels for the Group and Subsidiary companies within Africa
* Maintaining knowledge of the company’s legal documents and operations.
* Crafting and reviewing legal strategy in response to any litigation
* Keeping a record of all legal documents and proceedings for the company
* Communicating with outside counsel
* Facilitating filings of licensing forms and other statutory requirements
* Transaction advisory services, preparation of share subscription agreement and shareholders agreement.
* Capital structuring and reorganization, including transfer of shares, increasing capital, allotments, rights issues, bonus issues etc.
* Provide prompt legal support to the relevant units within the group.
* Provide legal advisory service on local and international laws as it affects the Group or its subsidiaries/
• Draft and review agreements with Original Equipment Manufacturers (OEM), clients, vendors etc.
* Work with the Group Counsel to oversee the Legal and Company Secretarial Department

Qualifications

* LLB in Law or equivalent
* Minimum of 5 years of legal experience, preferably with a combination of law firm and in-house counsel experience.
* Strong knowledge of commercial law, corporate governance, regulatory compliance, and risk management.
* Proven ability to manage multiple projects and priorities in a fast-paced environment.
* Excellent communication, negotiation, and interpersonal skills.
* Strong analytical and problem-solving abilities.
* Experience managing and mentoring junior legal staff is preferred.

Preferred Skills:
* Experience in the Technology, Real Estate and Manufacturing sector.
* Familiarity with international legal and regulatory frameworks.
* Proficiency in using legal research tools and software.
